End-User License Agreement (EULA)

Effective Date: December 7, 2025

1. Agreement

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and All4business regarding the use of the Procidio software application ("Software"). By installing, copying, or using the Software, you agree to be bound by the terms of this EULA.

2. Grant of License

Subject to your payment of the applicable license fees, All4business grants you a perpetual, non-exclusive, non-transferable license to use the Software as follows:

• Standard License: Single-user license for use on up to two devices (e.g., Work PC and Laptop) owned by the same user.
• Enterprise License: Per-seat license for the number of users purchased.

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Software.
• Rent, lease, lend, or provide commercial hosting services with the Software.
• Use the Software in a Service Bureau or SaaS arrangement where you charge third parties for the use of the Software itself.

4. License Delivery & Activation

The Software is activated via a digital License Key file (.lic). Upon confirmation of your payment via PayPal, your License Key will be generated and delivered manually via email within 24 business hours.

5. Updates & Support

The license includes 1 year of free software updates and email support. After 1 year, you may continue to use the version of the Software you have installed perpetually, but access to new updates will cease unless a support renewal is purchased.

6. Termination

This EULA is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and destroy all copies.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALL4BUSINESS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.
